1. Acceptance of Terms

By accessing or using OnRampDLT ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. OnRampDLT is operated by StackStats Apps.

2. Description of Service

OnRampDLT provides a platform for creating and deploying tokens on the XRP Ledger (XRPL). The Service includes:

  • Token creation and minting tools
  • XRPL blockchain integration
  • Account management and authentication
  • Transaction history and tracking
  • Bond issuance and investor subscription tools

3. Account Registration

To use OnRampDLT, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Service Tiers

Free Tier

  • 1 token creation
  • XRPL support
  • Basic support

Pro Tier ($49/month)

  • Unlimited token creations
  • XRPL support
  • Priority support
  • Advanced features
  • API access

5. Payment and Subscriptions

  • Pro subscriptions are billed monthly via Stripe
  • Payments are non-refundable except as required by law
  • You may cancel your subscription at any time
  • Upon cancellation, you retain Pro access until the end of the billing period
  • We reserve the right to change pricing with 30 days notice

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Create tokens that violate securities laws or regulations
  • Create fraudulent, misleading, or deceptive tokens
  • Attempt to circumvent rate limits or service tiers
  • Reverse engineer or exploit vulnerabilities
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Harass, abuse, or harm others

7. Blockchain and Token Risks

You acknowledge that:

  • Blockchain transactions are irreversible
  • Token creation involves network fees (paid to XRPL validators)
  • Token value is speculative and may be zero
  • Regulatory treatment of tokens varies by jurisdiction
  • You are solely responsible for compliance with applicable laws
  • OnRampDLT is a tool provider, not a financial advisor

8. Intellectual Property

OnRampDLT and its content (excluding user-generated tokens) are owned by StackStats Apps and protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free operation
  • Accuracy or reliability of results
  • That defects will be corrected
  • Compatibility with all devices or networks

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONRAMPDLT AND STACKSTATS APPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR TOKEN VALUE LOSS.

11. Indemnification

You agree to indemnify and hold harmless OnRampDLT and StackStats Apps from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, illegal activity, or at our discretion. Upon termination, you lose access to the Service and your data may be deleted.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the United States and the State of Alaska, without regard to conflict of law principles.

16. Securities Offerings and Regulation D

OnRampDLT provides software infrastructure only and does not act as a broker-dealer, placement agent, or investment adviser under the Investment Advisers Act of 1940 or the Securities Exchange Act of 1934. Any bond offerings created through the platform are private placements conducted under Regulation D of the Securities Act of 1933, relying on Rule 506(b) or Rule 506(c), and are exempt from SEC registration.

Issuers are solely responsible for (a) filing Form D with the SEC within 15 days of the first sale; (b) compliance with applicable state securities laws (blue sky); (c) independently verifying accredited investor status for Rule 506(c) offerings; and (d) providing all disclosures required under applicable law. Participation in bond offerings is restricted to accredited investors as defined under SEC Rule 501, and investors are solely responsible for accurately certifying their accredited status.

Nothing on the platform constitutes investment advice, a recommendation, or a solicitation to buy or sell any security. Securities offered under Regulation D are subject to transfer restrictions and may not be resold without registration or an applicable exemption. OnRampDLT is not liable for issuer compliance failures, investor losses, or any regulatory action arising from use of the platform.
